Welcome to Smart Growth Services (“SGS,” “we,” “our,” or “us”). By accessing our website, purchasing our services, enrolling in a program, or otherwise engaging with us, you (“you,” “client,” or “user”) agree to the following Terms & Conditions.

Please read this agreement carefully. If you do not agree to these terms, please do not use our services or website.


1. Services Provided

SGS provides business consulting, system setup, automation, marketing support, and related services primarily for coaches, consultants, and course creators. Services may include done-for-you buildouts, strategy sessions, software setup, automation, templates, and client acquisition guidance.

All services are subject to availability and may be modified or discontinued at any time at our discretion.


2. Payment Terms

All payments are due in full at the time of purchase unless a written payment plan has been agreed upon.

If you are on a payment plan, you are legally responsible for completing all scheduled payments regardless of usage or outcomes.

Failure to complete payments may result in revoked access to services, legal collection efforts, and additional fees.


3. Refund Policy

Due to the customized and digital nature of our services, all sales are final.

No refunds will be issued once services are rendered, regardless of perceived or actual outcomes.

If you cancel before service delivery begins, you may be eligible for a partial refund, minus any administrative or onboarding costs incurred at our discretion.


4. Client Responsibilities

By purchasing from SGS, you acknowledge and agree that:

You are solely responsible for your own business success, actions, and results.

You will provide necessary content, access, and communication in a timely manner.

You are responsible for the accuracy and legality of any content or materials you submit.

You will not hold SGS liable for your personal or business results.


5. Earnings Disclaimer

SGS makes no guarantees, promises, or warranties regarding income, sales, or business success. Any case studies, testimonials, or examples shared are provided for illustration only and should not be interpreted as guarantees.

Your results will vary based on a variety of factors including, but not limited to:

Your industry

Offer quality

Pricing and positioning

Market demand and saturation

Your work ethic, consistency, and sales ability

By engaging with SGS, you accept that:

You are 100% responsible for your own results.

Income examples and testimonials do not guarantee future performance.

SGS is not liable for any losses, missed opportunities, or business interruptions.

5.1 Client Growth Guarantee

Smart Growth Services (“SGS”) offers a unique Client Growth Guarantee as part of our commitment to your success. This guarantee is specifically available on eligible programs and services — such as the First Client System Build — and is subject to the following terms and conditions:


What’s Guaranteed:

If you purchase a service marked with the “Client Growth Guarantee,” you will not be required to pay the full project balance until you land your first paying client or 60 days after launch, whichever comes first.


How It Works:

You pay a non-refundable deposit (usually $495) to reserve your project build.

Your full system will be delivered as agreed.

Your remaining balance is due:

Within 7 calendar days of your first sale
OR

90 calendar days after the official launch date
(“Launch” is defined as the date your system is handed over for use)


What Qualifies as a “First Client”:

A “client” is defined as any person or business that:

Pays you money for your service, offer, product, or program

Was acquired through any method using the system we built or advice we provided

This includes clients acquired through organic, referral, paid traffic, or direct outreach using tools provided during our engagement.


Important Terms:

You are required to notify SGS within 3 days of your first client sale.

If you do not notify SGS, we will still invoice you at the 60-day mark for final payment.

If full payment is not received by day 67 (7 days after final invoice), access to future support, updates, or any additional SGS services may be revoked and collections may be pursued.


Optional Services and Add-ons Are Not Covered

This guarantee applies only to the core system build or program that includes the guarantee. Any additional services, ad spend, coaching upgrades, or content creation retainers are excluded.


Why This Exists

We created this guarantee to remove the fear of investing before you’re ready. We’ll do everything in our power to deliver a launch-ready system — but you must take ownership of outreach, positioning, and consistency to make it successful.

SGS is not responsible for the lack of follow-through or client effort. If you ghost, stall, or fail to launch, the guarantee is void. Attempts will be made to reach you, after which, the full amount will be due immediately.


6. Intellectual Property

All materials provided by SGS (including websites, templates, systems, videos, and written content) are protected under intellectual property laws.

You may not:

Reproduce, share, or distribute these materials beyond your personal business use

Sell, license, or repurpose our content without written permission

SGS retains all rights to materials we create unless a separate agreement states otherwise.


7. Confidentiality

We agree to maintain the confidentiality of any proprietary information you share with us, and you agree to keep our processes, strategies, templates, and pricing confidential.


8. Third-Party Software, Design, and Service Costs

Smart Growth Services (“SGS”) utilizes external platforms—such as Go High Level (GHL)—to build and deploy your business systems. While we provide system setup, automation, and integration services, all third-party tools (including CRM subscriptions, calendar integrations, SMS/email providers, and domain services) must be maintained and paid for directly by the client. SGS does not cover, manage, or reimburse any external platform fees.

Additionally, if your project requires custom web design, premium templates, branding services, licensed images, video production, or graphic design beyond the scope of the core system setup, these services are not included in our standard offering and may involve additional fees payable to third-party providers. Any such needs will be clearly communicated in advance.

Clients are responsible for initiating and managing their own accounts for any external services, and all associated costs fall outside the scope of SGS’s responsibility.


9. Limitation of Liability

To the fullest extent permitted by law:

SGS shall not be liable for any indirect, incidental, or consequential damages.

Our maximum liability for any claim related to services is limited to the total amount you paid for the services in question.


10. Termination of Services

We reserve the right to terminate services or access to any client who:

Violates these terms

Becomes unreasonably difficult to work with

Engages in abusive, harassing, or unethical behavior

In such cases, no refund will be issued.


11. Changes to Terms

We may update these Terms & Conditions at any time. Continued use of our website or services after any changes indicates your acceptance of the revised terms.


12. Governing Law

These terms are governed by and construed in accordance with the laws of the state of [Insert Your State], without regard to conflict of law principles.
